1. Scope of Services:

4. Confidentiality:
Both parties agree to maintain the confidentiality of any sensitive information shared during the course of the consulting engagement. This includes, but is not limited to, business strategies, financial information, and proprietary data.

5. Intellectual Property:
Any intellectual property developed during the consulting engagement, unless otherwise specified in writing, shall be the exclusive property of the client. The consulting firm retains the right to use general knowledge, skills, and methodologies acquired during the engagement for other clients.

6. Termination of Services:
Either party may terminate the consulting services with written notice, detailing the reasons for termination. In the event of termination, fees for services rendered up to that point will be due and payable.

7. Client Responsibilities:
The client agrees to provide timely and accurate information necessary for the consulting services. Failure to do so may impact the effectiveness and timeliness of the services provided.

8. Indemnification:
The client agrees to indemnify and hold the consulting firm harmless from any claims, losses, or damages arising from the client’s actions or decisions during the course of the engagement.

9. Dispute Resolution:
Any disputes arising from this agreement will be resolved through negotiation, mediation, or arbitration in accordance with the laws of the jurisdiction specified in the agreement.
